1. Acceptance Of Terms

By accessing this website or engaging K N Infocept ("we," "us," "our") for design, development, or consulting services, you ("client," "you") agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply alongside any signed proposal, statement of work, or contract between you and K N Infocept. Where a signed agreement conflicts with these terms, the signed agreement takes precedence.

2. Description Of Services

K N Infocept provides custom software development, including CRM systems, web platforms, internal tools, and related cloud/DevOps work. The specific scope, deliverables, timeline, and cost for any engagement are defined in a separate written proposal or statement of work agreed to by both parties before work begins.

We reserve the right to modify, suspend, or discontinue any part of our publicly available website or service offerings at any time, without prior notice, though active client engagements will always be governed by their signed agreement.

3. Client Responsibilities

To help us deliver on schedule, you agree to:

• Provide accurate, complete information needed to scope and build your project.
• Respond to review requests and approvals within the timeframes we agree on.
• Secure any third-party licenses, accounts, or permissions required for the project.
• Use deliverables in compliance with applicable laws and the license granted to you.

Delays in providing feedback, content, or access may extend project timelines accordingly.

4. Intellectual Property & Ownership

Unless otherwise agreed in writing, upon full payment you own the custom code, designs, and assets we create specifically for your project. This does not extend to our internal tools, frameworks, boilerplate, or any pre-existing intellectual property we reuse across projects, which we retain ownership of and license to you for use within your project.

Third-party libraries, fonts, plugins, and stock assets used in your project remain subject to their own respective licenses.

5. Payment Terms

Payment schedules, milestones, and amounts are set out in your project proposal or invoice. Unless otherwise agreed, projects require an upfront deposit before work begins, with the remaining balance due at agreed milestones or upon completion.

Late payments may result in paused work, and we reserve the right to withhold final deliverables, source files, or hosting access until outstanding balances are settled.

6. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of an engagement, and to use it only for the purposes of that engagement. This obligation survives the completion or termination of our working relationship.

7. Limitation Of Liability

To the maximum extent permitted by law, K N Infocept's total liability arising out of or related to any engagement will not exceed the total fees paid by you for that engagement in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity.

Nothing in these terms limits liability that cannot be limited under applicable law.

8. Termination

Either party may terminate an active engagement with written notice, as specified in the relevant proposal or contract. Upon termination, you are responsible for payment of all work completed up to the termination date, and we will provide any deliverables completed and paid for at that point.

9. Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, our services and this website are provided "as is," without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

10. Governing Law

These terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts having competent authority over our registered place of business.

11. Changes To These Terms

We may update these Terms & Conditions from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
